Miramar is seeking investments in technology companies with high growth potential in the following fields:

• Communications and networking
• Information storage and processing
• Security
• Next generation software and application services
• Infrastructure and wireless
• Nanotechnology

We are looking for companies that are as market driven as they are technology driven, have proprietary and defensible technology positions yielding a competitive edge and barrier to entry, and are led by management teams with the experience, dedication and high sense of urgency to succeed at their endeavors.

We focus primarily on information technology companies in Southern California, from Santa Barbara to San Diego. Most of our investing will be done in early stage companies as first or second rounds of financing; however, we will also invest in expansion rounds where a company has satisfactorily demonstrated the viability of its business model or the commercialization of its technology. We will seek and provide co-investment opportunities to team up with other venture capital firms and strategic investors who will contribute to the success of our portfolio companies.

Typically, we will invest from $1 million to $3 million per round. On occasion we will invest less than that to seed companies that fit our investment criteria and are led by founders with whom we have had prior successful experience. Miramar will structure its investments primarily as direct purchases of preferred stock in the portfolio companies. The size of each investment, and the percentage of the company acquired in that investment, will vary depending on a number of factors, including the following: the stage of development of the company; the financial, operating and technology strength of the company; the breadth and depth of the management team; the potential market for the company's technology; the timing and feasibility of the path to liquidity; and the alternative strategies and contingency plans available to the company. Miramar will always seek to ensure that its portfolio company management teams retain a meaningful stake in their companies.
